Authorized Referrer-Seller Independent Agent Agreement
The purpose of this letter is to set forth our agreement with the respect to the terms and conditions upon which you agree to act as Referrer-Seller Agent of the products distributed by the undersigned:
Effect as of the date of execution of this Agreement, you are engaged by the undersigned as a non-exclusive Referrer-Seller Agent for Web Hosting Services and Web Design Products in any part of the Philippine territories.
In Such capacity, you will pursue such leads as you may obtain for the referrer sale to such individuals who are interested in purchasing the undersigned's products and services. All referrer sales will be at such purchase price as shall mutually agreed upon by you and the undersigned.
You will use your best efforts to promote as a referrer-seller agent and report immediately any obtain client orders for the undersigned and shall at all times maintain the good will between the undersigned and its customers. Joiso Website Provider staffs will communicate directly to the clients to close all sales transaction agreement you refer to us and not the referrer-seller agent
You will determine the methods of carrying out your obligations hereunder and the number of hours that you will work. At all times you will maintain standards of performance and behavior established by the undersigned and will conduct your activities in accordance with the standards and directions of the undersigned.
In consideration for the services to be rendered by you, you will receive 10% commission yearly for the subscription sales of Web Hosting Services and one time fee commission of 5% for the Sales of Web Design. All of your commission are subject for withholding tax. Such commissions will be payable upon the received of the payment from the clients and delivery of the products and services sold. You are required to provide us your tin number for withholding tax purposes and submit your information form.
The independent referrer-seller agent are not authorized to collect and to accept payment directly or indirectly. Referred client will pay directly to Joiso Website Provider office and once the client paid the amount of services in full, the independent referrer-seller agent will receive the commission by mail check or money order.
It is agreed that you will not be treated as an employee of the undersigned. Rather, you will be an independent contractor and will be solely responsible for payment of all local tax obligations with respect to all amounts paid to you by the undersigned.
As an independent referrer-seller agent, you are not employee of Joiso Website Provider and we will not provide any allowances, (SSS) Social Security System and Pag-ibig Fund. You may employ such individuals as you may desire on such terms and conditions that you may established, and you alone will be solely responsible for the payment of salaries and/or other compensation to your employees and for the payment of all taxes obligations with respect to such payments.
This agreement will continue until terminated by either of us at will.
Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration in accordance with the Philippine Law and a judgment upon any award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
If the foregoing accurately contains the terms and conditions of our Agreement, kindly execute the enclosed copy of this letter Agreement where indicated and return it to the undersigned.
